Scope and Acceptance<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">All orders are subject to these Terms and Conditions.<br>Any terms proposed by the Buyer shall not apply unless expressly accepted in writing by the Seller.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The contract becomes effective upon written confirmation by the Seller or fulfillment of the order.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">3. Orders<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Orders may be placed via email, website, or written communication.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">All orders are subject to acceptance and availability.<br>The Seller reserves the right to refuse or cancel any order.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">4. Prices<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Prices are stated in euros (\u20ac) unless otherwise specified.<br>Prices exclude VAT and any applicable duties or taxes.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Prices are defined in the Seller\u2019s quotation or order confirmation.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">5. Payment<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Payment terms are defined in the Seller\u2019s order confirmation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Unless otherwise agreed:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Payment is due before shipment<\/li>\n\n\n\n<li>No set-off or deduction is permitted<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The Seller reserves the right to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Suspend deliveries in case of late payment<\/li>\n\n\n\n<li>Request advance payment or guarantees<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">6. Delivery<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Delivery terms shall be defined in the Seller\u2019s order confirmation in accordance with Incoterms\u00ae (latest version).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Delivery times are indicative only and do not constitute a binding obligation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Seller shall not be liable for delays caused by:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Carrier issues<\/li>\n\n\n\n<li>Supplier delays<\/li>\n\n\n\n<li>Force majeure events<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Risk transfers to the Buyer upon delivery according to agreed Incoterms.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">7. Storage and Failure to Take Delivery<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If the Buyer fails to take delivery, the Seller may store the goods at the Buyer\u2019s expense.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In such cases:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Delivery is deemed completed<\/li>\n\n\n\n<li>Risk transfers to the Buyer<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">8. Warranty and After-Sales<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Seller provides a warranty of five (5) years from the date of payment, covering manufacturing defects under normal use conditions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">All warranty claims are subject to prior validation by the Seller.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">To submit a warranty claim, the Buyer must complete the Seller\u2019s after-sales request form and provide all required information, including but not limited to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Product identification and batch number<\/li>\n\n\n\n<li>A clear description of the issue<\/li>\n\n\n\n<li>Supporting evidence such as photos or videos demonstrating the defect<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Incomplete claims or insufficient information may result in the request being rejected.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Seller reserves the right to determine, at its sole discretion, whether a product is defective and eligible for warranty coverage.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a defect is confirmed, the Seller will provide a replacement product. Refunds are not provided under warranty.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Return of defective goods is not required unless expressly requested by the Seller.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Shipping costs related to approved warranty claims will be borne by the Seller.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The warranty does not apply to defects or damage resulting from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Improper installation or use<\/li>\n\n\n\n<li>Lack of maintenance<\/li>\n\n\n\n<li>Unauthorized modification or repair<\/li>\n\n\n\n<li>Normal wear and tear<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">This warranty constitutes the Buyer\u2019s exclusive remedy.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">9. Liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Seller\u2019s total liability under any contract shall not exceed the total value of the relevant order.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Seller shall not be liable for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Indirect or consequential losses<\/li>\n\n\n\n<li>Loss of profit or business<\/li>\n\n\n\n<li>Installation or operational misuse<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">10. Force Majeure<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Seller shall not be liable for failure or delay in performance due to events beyond its control, including but not limited to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Natural disasters<\/li>\n\n\n\n<li>War or terrorism<\/li>\n\n\n\n<li>Supply chain disruptions<\/li>\n\n\n\n<li>Transport delays<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">If such events continue for more than 8 weeks, either party may terminate the contract.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">11. Intellectual Property<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Seller retains all intellectual property rights related to its products.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Buyer shall not reproduce, modify, or misuse such rights.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">12. Compliance<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Buyer agrees to comply with all applicable laws, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Import\/export regulations<\/li>\n\n\n\n<li>Anti-corruption laws<\/li>\n\n\n\n<li>Sanctions regulations<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">13. Data Protection<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Personal data is processed in accordance with applicable data protection laws (GDPR).<br>Please refer to our Privacy Policy for more information.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">14. Assignment<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Buyer may not assign its rights or obligations without prior written consent from the Seller.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">15. Governing Law and Jurisdiction<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms shall be governed by French law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any dispute shall be subject to the exclusive jurisdiction of French courts.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">16.
